MVP hereby undertakes not to disclose to any person, firm or corporation without the Client's prior written consent any of the |

Confidential Information or the fact that Confidential Information has been provided by the Client: - |

To its officers, employees, agents and advisers who have a need to know in order that it may carry out a full service and |
| ii |
To the extent required by law or by regulation of the Inland Revenue and Customs & Excise or any other regulatory body |

MVP agrees not to use the Confidential Information or any part of it except for the purposes of servicing the “Schedule of |
| |
Work” and any amendments thereto. |

MVP agrees to return or destroy all Confidential Information should it cease to be relevant either to the service MVP has |
| |
agreed to provide or those rules as governed by the appropriate legal authorities |

The Client undertakes that it has finished with the relevant Confidential Information to MVP in good faith and agrees to the |
| |
accuracy or completeness of such Confidential Information. |

The Client undertakes not to disclose to any person, firm or corporation without the prior written consent of the MVP any |
| |
Confidential Information. |
|
MVP agrees to ensure that all Authorised Recipients of the Confidential Information are bound by equivalent non-disclosure |
| |
obligations to those set out by law. |
|
English law governs this agreement. |
|
We confirm our acceptance of the terms of the above Statement and the terms contained therein. |
